MTC Advises Lotte Chemical Corporation On Its Divestment Of Lotte Chemical Pakistan Limited

Mohsin Tayebaly & Co. is pleased to announce that it acted as Pakistani sell-side legal counsel to Lotte Chemical Corporation in relation to the sale and divestment of its entire shareholding (representing approximately 75.01% of the total issued and paid-up share capital) in Lotte Chemical Pakistan Limited to PTA Global Holding Limited, a joint venture between AsiaPak Investments Limited and Montage Commodities FZCO.

This transaction represents a strategic development for our client and involved a range of corporate, financing, regulatory and cross-border considerations.

The completion of the divestment successfully occurred on November 12, 2025, following the successful fulfilment of all closing conditions and applicable legal and regulatory requirements. As a consequence of the transaction structure, the sale also triggered a mandatory public offer, which was successfully completed in September 2025.

Given the cross-border nature of the transaction, we had the privilege of working alongside Shin & Kim LLC, who acted as Korean sell-side legal counsel.
