MTC Represents Engro Corporation Limited In The Divestment Of Its Entire Shareholding In Engro Polymer & Chemicals Limited To Lotte Chemical Pakistan Limited

Mohsin Tayebaly & Co. is acting as sell-side legal counsel to Engro Corporation Limited in connection with the proposed divestment of its entire 56.19% (fifty six point one nine percent) shareholding in Engro Polymer & Chemicals Limited to Lotte Chemical Pakistan Limited for an aggregate consideration of approximately PKR 19,700,000,000/- (Pak Rupees Nineteen Billion Seven Hundred Million).

This transaction represents a significant strategic divestment for Engro Corporation Limited and forms part of its broader portfolio optimisation and capital allocation strategy, enabling it to recycle capital into future growth opportunities while further strengthening the quality and resilience of its investment portfolio.

The Firm’s scope of work as sell-side legal counsel included, among other things: (i) advising on the structuring of the transaction; (ii) drafting, reviewing and negotiating the transaction documents; (iii) advising the seller on all requisite corporate, regulatory and other approvals; (iv) providing transaction-specific advice in relation to structuring, legal and regulatory compliance requirements before the relevant authorities; and (v) leading negotiations with the buy-side legal counsel on behalf of Engro Corporation Limited.

The Share Purchase Agreement in respect of this transaction was signed on August 31, 2026 and completion of this transaction is subject to requisite approvals, and satisfaction of other conditions.
